Terms of Service

1. Introduction
Welcome to BaseLock. These Terms of Service ("Terms") govern your use of our services.
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use our Services.
2. Definitions
Throughout these Terms, the following definitions apply:
- "BaseLock," "we," "our," or "us" refers to BaseLock Systems, Inc. and its subsidiaries and affiliates.
- "User," "you," or "your" refers to any individual or entity that accesses or uses our Services.
- "Services" means the endpoint security, device management, and protection services provided by BaseLock, including the BaseLock dashboard and the endpoint agents installed on your devices.
- "Endpoint Agents" means the security and management software (currently the CrowdStrike Falcon agent and the JumpCloud agent) that BaseLock arranges to be installed on your devices to deliver the Services.
- "Content" means any information, data, text, software, graphics, or materials that appears on or is available through our Services.
3. Eligibility
To use our Services, you must be at least 18 years old and capable of forming a binding contract with us. If you are using our Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
4. Account Registration
To access certain features of our Services, you may need to create an account. When registering for an account, you agree to provide accurate, current, and complete information, including a valid mobile phone number for authentication. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security.
5. License and Restrictions
5.1. License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use our Services for your personal or internal business purposes, and to install and use the Endpoint Agents on devices that you own or are authorized to manage.
5.2. Restrictions
You agree not to:
- Use our Services for any illegal purpose or in violation of any applicable laws or regulations
- Attempt to gain unauthorized access to our Services or related systems or networks
- Interfere with or disrupt the integrity or performance of our Services
- Reverse engineer, decompile, or disassemble any portion of our Services or the Endpoint Agents, except to the extent expressly permitted by applicable law
- Copy, modify, distribute, sell, or lease any part of our Services
- Remove or alter any proprietary notices or markings on our Services
- Use our Services to transmit harmful code or malware
- Use the Services or Endpoint Agents to attack, intrude into, or compromise systems you do not own or are not authorized to test
- Install the Endpoint Agents on devices you do not own or are not authorized to manage
- Use the Services to evade lawful detection, monitoring, or law enforcement
6. Fees and Payment
6.1. Subscription Plans
We offer various subscription plans with different features and pricing. The details of each plan, including pricing, billing frequency, and included features, are provided on our website or in separate agreements. BaseLock does not offer free trials; service begins on the date of your first paid subscription.
6.2. Payment Terms
You agree to pay all fees associated with your selected subscription plan. Payments are processed by Stripe; BaseLock does not store full payment card numbers. We may change our prices with at least thirty (30) days' notice to you, and such changes will apply to subsequent billing cycles.
6.3. 30-Day Money-Back Guarantee
If you cancel your first paid subscription with BaseLock within thirty (30) days of your initial paid signup, you may request a full refund of your most recent payment by contacting support@getbaselock.com. After the 30-day window, payments are non-refundable except as required by applicable law. The 30-day guarantee applies only to a customer's first paid subscription; subsequent renewals and additional subscriptions on the same account are non-refundable.
6.4. Automatic Renewal and Cancellation
Your subscription will automatically renew at the end of each billing period at the then-current price, and you authorize us to charge your payment method for each billing period until you cancel. You may cancel auto-renewal at any time from your account settings or by contacting support@getbaselock.com. Cancellation takes effect at the end of your current billing period, and you retain access to the Services through that period. For annual subscriptions, we will send a renewal reminder at least fifteen (15) days before the renewal date.
6A. Endpoint Agents and Device Consent
The Services rely on the Endpoint Agents to monitor, detect threats on, and remotely manage your devices. By installing the Endpoint Agents, you authorize BaseLock and its security partners (currently CrowdStrike and JumpCloud) to:
- Install, update, and reconfigure the Endpoint Agents on the devices you enroll;
- Collect the device telemetry and threat-detection metadata described in our Privacy Policy;
- Apply security policies, including blocking known-bad files and quarantining suspicious activity;
- Execute remote commands necessary for support, troubleshooting, or removing the Endpoint Agents on offboarding.
You represent that you own each device you enroll, or that you have full authority to install the Endpoint Agents and consent to monitoring on that device. You may remove a device at any time from your account dashboard; on offboarding, BaseLock will issue commands to uninstall the Endpoint Agents from that device.
7. Intellectual Property Rights
Our Services and all content, features, and functionality are owned by us, our licensors, or other providers and are protected by copyright, trademark, and other intellectual property laws. These Terms do not transfer any ownership rights to you.
8. Privacy
Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and disclose information about you.
9. Term and Termination
9.1. Term
These Terms will remain in effect until terminated by you or us.
9.2. Termination by You
You may terminate your account or subscription at any time by following the instructions on our website or contacting our support team.
9.3. Termination by Us
We may suspend or terminate your access to our Services at any time for any reason, including if we believe you have violated these Terms. We will provide notice of termination when appropriate.
9.4. Effect of Termination
Upon termination, your right to use our Services will cease at the end of your current billing period (or immediately, in the case of termination for breach). BaseLock will issue commands to uninstall the Endpoint Agents from your enrolled devices. Your account data is deleted within thirty (30) days, except for a minimal tombstone record retained to honor your deletion request and meet legal obligations, as described in our Privacy Policy. Any provisions of these Terms that by their nature should survive termination will survive termination.
10. Warranty Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify and hold harmless BaseLock and its affiliates from any claims arising from your use of the Services.
13. Governing Law and Jurisdiction
These Terms and any disputes arising out of or relating to these Terms or the Services will be governed by the laws of the State of California, without regard to its conflict of law principles. Any legal action or proceeding arising out of these Terms will be brought exclusively in the federal or state courts located in San Francisco, California.
14. Miscellaneous
14.1. Entire Agreement
These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and us regarding the Services.
14.2. Severability
If any provision of these Terms is found to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
14.3. No Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
14.4. Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign or transfer these Terms without your consent.
15. SMS Communications and Consent
15.1. Consent to Receive SMS Messages
By creating an account with BaseLock and providing your phone number during registration, you expressly consent to receive SMS text messages from BaseLock at the phone number you provided. These messages include:
- Authentication codes: One-time verification codes (OTP) required to log in to your account
- Account notifications: Important account alerts such as payment confirmations, payment failures, and account status changes
- Security alerts: Notifications related to your account security, such as new device logins or suspicious activity
- Service updates: Critical updates about your BaseLock subscription and services
15.2. Message Frequency and Charges
Message frequency varies based on your account activity. Authentication codes are sent each time you log in. Account and security notifications are sent as needed. Standard message and data rates from your wireless carrier may apply. BaseLock does not charge for SMS messages, but your carrier may.
15.3. Opting Out
Authentication SMS messages are required for account access and cannot be opted out of while maintaining an active account. If you no longer wish to receive SMS messages from BaseLock, you may cancel your account by contacting support@getbaselock.com or through your account settings. Please note that opting out of SMS will prevent you from accessing your account, as SMS verification is required for authentication.
15.4. Phone Number Changes
You are responsible for keeping your phone number up to date. If your phone number changes, you must update it in your account settings to continue receiving authentication codes and account notifications.
15.5. Privacy
Your phone number will not be shared with third parties for marketing purposes. SMS messages are sent via Amazon Web Services (AWS) Simple Notification Service (SNS) solely for the purposes described above. For more information, see our Privacy Policy.
